Terms of Service

AgentOnRails is operated by Will Sanchez, a sole proprietor doing business as "AgentOnRails" ("AgentOnRails," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the AgentOnRails software and any paid add-ons, licenses, or engagements described below. By installing the software, requesting a trial license, purchasing a commercial license, or engaging us for a paid pilot or audit, you agree to these Terms.

We're an early-stage, single-founder operation. These Terms are intentionally plain and will get more formal as the business grows — if anything here is unclear, email will@agentonrails.com before relying on it for something important.

1. What AgentOnRails is

AgentOnRails is a local-first software daemon that runs on your own machine (or infrastructure you control) and acts as a policy layer between an AI agent and the internet: enforcing spending budgets, optionally signing requests with a per-agent cryptographic identity, and optionally screening outbound requests for sensitive data before they leave your machine.

The core payment rail (the free, open-source proxy) is licensed separately under the Apache License 2.0 — see the LICENSE file in the GitHub repository. Where the Apache License and these Terms overlap on the open-source core, the Apache License governs; these Terms additionally govern the commercial add-ons, trial licenses, and paid engagements described below.

2. Non-custodial, local-first — and what that means for you

We never hold your funds, private keys, or agent traffic. The software runs on infrastructure you control. Wallet and identity private keys are generated and encrypted on your own disk; we have no mechanism to access, recover, or reverse a transaction made by your agent.

This means you are solely responsible for:

• Securing the machine the software runs on, your passphrases, and your backups. If you lose your passphrase or your disk, we cannot recover your keys or funds.
• The budgets, spending limits, and policies you configure for your own agents. AgentOnRails enforces the rules you set — it does not decide what those rules should be, and a misconfigured budget is not a defect in the software.
• Any payment your agent makes once it clears your configured policy. Payments settle directly, on public blockchains, between your agent's wallet and whoever it's paying — they are generally irreversible.
• Complying with any laws that apply to you, including tax and money-transmission rules in your jurisdiction.

3. The free, open-source core

The payment rail, proxy daemon, CLI, and audit log are free, open-source (Apache-2.0), self-hostable, and usable commercially at no cost, subject to the Apache License's own terms. Nothing in these Terms restricts your rights under that license.

4. Commercial add-ons and licenses

The identity ("Track"), privacy ("Cargo"), and dashboard ("Dispatch") add-ons require a signed license token tied to a tier (Pro, Team, or Enterprise) and, for trial and paid licenses alike, an email address.

• Trial licenses are free, time-limited (currently 14 days), limited to one per email address, and provided "as-is" for evaluation purposes. We may change, rate-limit, or discontinue trial issuance at any time.
• Paid licenses are issued directly by us against a signing key we control, for the tier, term, and price agreed with you individually — there is no public price list yet. A license is tied to the email address it was issued to and is not transferable without our consent.
• License validity is checked entirely offline, on your own machine, against a public key baked into the software — activating a license does not require ongoing contact with our servers.

5. Paid engagements (Enterprise pilots, Design Partner program, Commerce audits)

Enterprise architecture sessions, the Design Partner program, and Commerce readiness audits/implementation are separately scoped consulting engagements. Pricing, deliverables, and timelines for these are agreed individually by email before any work begins or payment is due; the general descriptions on this website are illustrative starting points, not binding quotes.

6. No warranty

The software and all services are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the software is error-free, that it will catch every instance of sensitive data, or that it will prevent every unauthorized or unintended payment.

7. Limitation of liability

To the maximum extent permitted by law, AgentOnRails and Will Sanchez will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of funds, data, or profits, arising from your use of the software or services — including losses resulting from a compromised key, a payment your agent made under a policy you configured, or a limitation of the privacy-screening rail described on this site. Our total liability for any claim arising from a paid license or engagement is limited to the amount you paid us for it in the twelve months before the claim arose.

8. Changes to these Terms

We may update these Terms as the product and business evolve. We'll update the "Last updated" date above when we do; continued use of a paid license after a change constitutes acceptance of the update.
